During this part of my lecture “Fundamentals of Company Law”, students learn more about this doctrine dealing with the external liability of shareholders in France, Finland and Germany. In addition, we have a deeper look into the Business Judgment Rule and the structured process in order to come to an informed decision. Furthermore, students get a precise understanding of fiduciary duties of management.
